  • All eyes are on the newly constituted board of Infrastructure Leasing and Financial Services (IL&FS), which has been tasked to come up with a rescue plan for the company by tomorrow. It should draw some pertinent lessons from the Satyam board that the previous government appointed in 2009, even if the scale and likely impact of the IL&FS crisis is much bigger than those of Satyam. The crisis at IL&FS, which funds infrastructure projects, is largely due to systemic flaws built up over a period, unlike the outright corporate fraud at Satyam. The Satyam board stood out not just for strategising to salvage the IT services firm, but also for walking the talk to oversee its execution on a war footing. The IL&FS board, too, needs to get on top of the crisis and put together a strong implementation team. Government-nominated Satyam board chairman Kiran Karnik had engaged with clients to ensure that they did not move en masse to competitors, after chairman B Ramalinga Raju confessed about years of accounting chicanery by the software firm. Karnik’s colleague on the board, Deepak Parekh, moved swiftly to appoint forensic auditors to restate accounts, and convince banks to lend to Satyam, which was struggling to pay salaries to its employees. The late C Achuthan, another GoI appointed nominee, spent weeks with legal advisers to estimate the legal liabilities and settle issues with regulatory agencies ahead of the company’s sale. His colleague, T N Manoharan, worked round the clock in Hyderabad, doubling as chief of the implementation team. He engaged with government agencies to remove irritants both in the day-to-day running of the company and effect a swift management change. “For 100 days, we stopped all work to attend to Satyam,” Parekh told ET in April 2009 (goo.gl/9tas7q), adding, “The board was given immunity and powers to do whatever they wanted to do. The government supported these decisions.” The board met 22 times in 97 days. That they successfully completed the process of finding a new promoter, Tech Mahindra, within three months and â€" without much controversy â€" helped restore investor confidence in the Indian corporate sector, as well as among foreign investors about India’s ability to deal with such situations. GoI, Sebi and the Company Law Board also were up for praise for acting fast, with the transaction cheered all around. IL&FS is strapped for cash, and has missed debt repayments, making the credit markets jittery. Its problems, government officials admit, have impacted the wider non-banking financial company (NBFC) sector. That has been reason enough for GoI to step in, supersede the erstwhile IL&FS board and appoint hand-picked professionals to clear up the mess. The group’s estimated debt is about Rs 91,000 crore. Hopefully, the board, steered by Uday Kotak, will come up with a bold and viable rescue plan that includes the sale of some assets to raise funds needed to pay off debts. What makes things tricky is the way IL&FS is structured. It is an unusual finance provider, with the holding company becoming a core investment company supervised by RBI. It has an NBFC as a subsidiary. But a majority of its 348 subsidiaries are not financial service providers â€" not regulated by RBI. Concerns that more loan defaults by IL&FS could put the financial sector in deep freeze â€" and destabilise the markets â€" are not misplaced, given the size and the exposure of insurance, mutual funds and provident funds to the entity. So, there is a compelling case to treat IL&FS as a unique case. It merits protection against any legal proceedings, and a stay on recovery of outstanding dues for a limited period, till restructuring is done under supervision. The Insolvency and Bankruptcy Code (IBC) allows for immunity to corporate debtors up to a maximum of 270 days. This should be extended to IL&FS. Protection from creditor pressure will help the firm at this stage. The board also needs to engage with various government agencies to ensure that the latter pay their dues, estimated at about Rs 16,000 crore. This would enable the company to service its debt. But the board must be supported with more hands-on professionals to handle operational matters. Former Sebi chairman MDamodaran has reportedly suggested providing at least two deputy managing directors to managing director Vineet Nayyar, former Tech Mahindra CEO who also helped steer Satyam out of the woods. The IL&FS board has appointed three advisers to formulate and execute a resolution plan. This is welcome. Along with a rescue plan, the company’s financing model that uses short-term borrowing to fund long-term infrastructure projects should be overhauled. Funding infrastructure with bonds, complete with bond guarantee funds, and other derivatives to hedge risks can prevent the recurrence of another IL&FS-like crisis, even if this is tided over. The board must be fully empowered ‘to do whatever it takes’ to set things right.
  • Chatter about Reserve Bank of India-Government of India relations has gone Viral. The central bank’s deputy governor, Viral Acharya, has given two ‘strong’ speeches over a short period of time. Commentaries following Acharya’s remarks can be classified in two broad categories.First, those critiquing RBI senior staff’s apparent loquaciousness, on the grounds that central banks should always maintain dignified silence, and also accept the reality that, ultimately, it’s the elected GoI that decides the major rules of the game.Second, those praising Acharya’s observations as a timely notice that GoI must not erode RBI’s hard-earned independence and that further, the Centre must cease and desist from its recent efforts to publicly ‘tell’ the central bank what it should do.There are merits in both sets of arguments. But both probably miss a larger, and the systemically most important, point: it’s alright for RBI to occasionally publicly express its reservations about GoI, and it’s equally alright for GoI to sometimes publicly critique RBI. Indeed, Acharya’s comments and subsequent responses from government high functionaries should be welcomed as a long-delayed first step in making Centre-central bank relations more mature and less mysterious. That’s what is required in a big democracy hosting a big economy, which is facing increasing policy complexity.We now know, with considerable clarity, that GoI reckons RBI should do more to increase credit to industry; that RBI reckons GoI should junk the proposal to create another payments regulator; that RBI thinks it doesn’t have enough powers to supervise banks and, therefore, has been unfairly critiqued by the Centre; and that GoI argues RBI has failed to detect bank scams despite wide-ranging supervisory control enjoyed by the central bank.We also know, with less but still credible certainty, that RBI is unhappy with some of GoI’s nominees to its board and that GoI isn’t overmuch concerned about RBI’s unhappiness.The value of these facts, likely facts and insights being in the public domain is immense. It allows all relevant economic and financial players to have a better understanding of how two big policymakers, India’s fiscal and monetary masters, view their priorities. India Not a Turkey For example, economic, financial actors invested in macroeconomic stability know that even if election pressures make GoI keen to cut a few corners in the short term, RBI is unlikely to budge from its medium-terms goals. Similarly, those invested in keeping India’s banking and non-banking financial institutions in good health know that GoI will use some of its vast powers in emergencies, even if RBI appears to dither.Compare this relatively higher degree of transparency in India’s Centre central bank relations to what happened in another major emerging economy, Turkey. An overbearing, near-dictatorial Turkish government pretty much press-ganged the country’s central bank into supporting a boom that’s now gone bust, with awful consequences.There’s no question of Turkish central bankers publicly questioning the government’s policy, and, therefore, no question of building up an informed public opinion against economically and financially dangerous government interference.Also instructive is another comparison, this time with a functioning democracy, the US. President Donald Trump has been harangued by his domestic critics for disparaging the chairman of Federal Reserve. Leaving Trump’s language aside, what’s wrong with his statements against Fed’s interest rate hikes? Fed, long used to effective policy independence from the executive, has vast powers and there are valid questions both about its recent record in inflation-targeting as well as its ability to read dangers hidden inside another asset bubble.Trump may sound like a whining bully, but his carping about Fed puts the powerful US monetary authority squarely in public focus just as its policy impact â€" the effect of planned interest rate hikes on growth and employment â€" is likely to be the sharpest. It’s worth remembering here that the US has a long and healthy tradition of policymakers critiquing each other, and that such critiques have engendered some of the most consequential policy amendments.This is how it should be in India. Responsible senior officials from GoI and RBI should, if the context demands, make their differences over substantive policy questions public. And India’s policy commentariat should get used to it, and welcome it.When GoI’s economic affairs secretary recently observed that some of RBI’s rules should be relaxed to allow greater credit flow to industry, there was much hand-wringing by Mint Street traditionalists, as if the senior bureaucrat had committed some major social faux pas. But the secretary should be complimented for making clear GoI’s current views on credit flows.Bank of last retort Similarly, when RBI governor Urjit Patel had publicly observed that the central bank doesn’t have enough powers to police commercial banks, those sympathetic to Raisina Hill had criticised, and even mildly mocked, him for his ‘outburst’. But it was no such thing. Patel was right in speaking out about what RBI thinks is a major problem.RBI, in fact, has a bit of catching up to do. Mint Street bosses have not always been the best messengers of their own institution’s views, while Raisina Hill has always had government heavyweights, who are masters in the art of public messaging, as well as experts at briefing the media.So, let there be, occasionally, more heat in Government of India-Reserve Bank of India relations. It will throw more light on what’s most important for India.

But can they offer a holistic solution to more complex long-term objectives? Can an online platform deliver everything that a certified financial advisor does?Coming back to health, how do you deal with common ailments such as a cold, flu or a cough? Walk into a chemist shop and you might be given some generic medicine which would solve the problem. And what if the ailment is not ordinary? Would you still go to the chemist for a solution? You can’t risk a wrong prescription and will definitely consult a qualified medical practitioner. The role of a qualified financial adviser is no different from what a doctor does for your health. He earns his bread and butter by safeguarding your financial interests, so he would look for the best solution for you given your financial situation and investment objectives. It is also not a onetime intervention. He continuously monitors your portfolio and the market situation and tells you the best solutions both in booming or adverse situations. Some of us take the DIY route of online investments to save time. However, time spent discussing the investment with a qualified financial adviser will help us make a more informed decision that suits our risk profile and fits our needs. A young person, who has just started working, can afford the DIY mode for buying ELSS funds to save tax this year. But if he has to plan for the next 10-20 years or more, the DIY approach would hardly be advisable because his needs would be far more complex.   • MUMBAI: Last year, McKinsey India hired a bunch of doctors, railway services professionals and former military personnel as associates and business analysts. So, what is a doctor or an army special operations commander doing in a strategy consulting firm? The answer lies in the changing client demands and stiff competition that makes it imperative to look beyond the prominent IIMs and IITs and hire from a wider pool. What started as experiments led to the firm revamping its hiring process and talent strategy for India to cater to the shift in business strategy and client demands. “We have expanded our talent pool as the diversity of perspective gives a robust dimension, richness in team and client benefits,” said Toshan Tamhane, senior partner and lead recruitment for India. Moving beyond IIMs and IITs, from where it continues to hire talent, the firm also recruits from leading colleges such as St Stephen’s, Lady Shri Ram College, Shri Ram College of Commerce, law schools and design institutes. This year, it plans to hire 200 people from campuses. There is also a big push being given to lateral hiring in the last one year. “Nearly 25% of our talent comes from different industry sectors who have expertise on various areas and can work to solve problem for our clients,” he added. McKinsey has created more than 10 new partner roles including Implementation Partner, Digital Partner, Expert Partner, Recovery and Transformation Partner, Analytics Partner, Design & Innovation Partner and Public and Social Sector Partner. The company has 60 partners in India. “Earlier we were just advisors, but now for more than half of our clients, we are implementing these strategies as well,” explained Tamhane. The firm has been hiring several diverse roles such as Client Developers, Chief Transformation Officers, Product Managers, Data Scientists, Knowledge Experts, Implementation Consultants, Design Experts and Solution Architects. It has also hired CIOs and CEOs of companies who can help with digital transformation. McKinsey, which is said to have the largest number of CEOs produced by any institution around the world, has also been losing talent in the last couple of years to startups, private equity firms and general industry, and retaining talent has been one of the key challenges. Besides that, there is increasing competition from other professional services firms such as Bain, the Boston Consulting Group and the Big Four advisory services firms, mainly EY and Deloitte. The company has been working on ways to retain talent. It has also beefed up hiring of data and digital analytics professionals including data scientists, architects, PHD in statistics and MSC in Economics. McKinsey’s digital, analytics and design team in India has more than 350 people. The change in talent strategy is also a result of the changing employee mix where nearly 80% of the over 4,000-strong India workforce is millennials. “They want variety. There is an increasing emphasis on health and social life. The millennials also want to work globally,” said Tamhane. “In terms of work, millennials can be staffed on engagement with overseas offices, one can choose to go for a short-term or permanent transfer to an overseas office,” Tamhane added.
  • MUMBAI: Tata Capital plans to launch an infrastructure debt fund to finance clean energy projects as part of a plan to double its lending activities in this area by next year, managing director Manish Chourasia said. “We are in advanced stages of discussions with partners and will be applying for relevant approvals once the plans are firmed up,” Chourasia told ET.Tata Capital will own about 49% stake in a company that will be floated to launch the fund, while its partners will own the remaining stake. The fund will be registered as a company and be modelled in the manner of a nonbanking finance company, according to Chourasia.The Tata group company has lent over Rs 5,000 crore to a combination of wind and solar energy projects. With the addition of the debt fund, the company plans to take its clean energy loan book to over Rs 10,000 crore.Infrastructure debt funds are popular as they enjoy tax benefits and are allowed more flexibility in terms of leveraging their capital, which makes them an attractive business for financial institutions to pursue.Chourasia outlined plans for diversification of the company’s green energy business activities.“We are also helping clients such as multilateral financial institutions in monitoring their clean energy investments and enabling companies to raise capital or identify potential M&A targets,” he said.The clean energy finance arm was fashioning itself as a green investment bank, according to Chourasia, who added that financial advisory and techno-commercial advisory would become key facets of its business.
