- âWe are a very large group and are often testing new alternative financing structures, as we are currently doing in India, to give us strategic flexibility,â a Vodafone Plc spokesperson told ET. âAny repayment terms will be purely at our discretion and we donât recognise the details of what you are describing.âVodafone Idea Limited (VIL), Indiaâs biggest phone company by subscribers, said last week it had finalised a rights issue to raise Rs 25,000 crore to help bulk up its balance sheet for countrywide 4G coverage and take on Bharti Airtel and Jio. Vodafone Group and the Aditya Birla Group will pump in up to Rs 11,000 crore and Rs 7,250 crore, respectively, as part of the rights issue. The orphan SPV structure is part of Vodafone Plcâs efforts to raise resources to fund its share of the issue. Further, VIL has said, in case the rights issue is under-subscribed, each promoter shareholder âreserves the right to subscribe to part or whole amount of the unsubscribed portion, subject to applicable law.âLENDERS CAUTIOUSVIL reported a consolidated loss of Rs 4,973 crore for the September 2018 quarter, its first financial results after the merger that was completed on August 31, 2018. VILâs gross debt stood at Rs 1.26 lakh crore at the end of September 2018.Analysts expect the company to report losses in the December quarter on higher costs although they estimate a slower sequential revenue dip, helped by a likely turnaround in average revenue per user (ARPU).VILâs market capitalisation of Rs 27,167.05 crore at the end of trade on Monday wonât be a factor, analysts said.âThe telecom joint venture is not expected to generate any cash or dividends and will remain loss making for the foreseeable future,â said an analyst. âIndus can generate dividends but post its merger with Bharti Infratel, Vodafone Plcâs stake will go down to 29% in the merged company, thereby reducing its influence on strategic issues like dividend decisions.âThe ballooning debt in India and at its parent, spectrum auction costs and competitive pressures could put dividend payout potential under a cloud. Vodafone Plc has dropped by a fifth in the past year allowing activist shareholders like Elliot Advisors to come in.âVodafone Ideaâs Ebitda and cashflow are under severe pressure which has led to an increase in net debt to Rs1,121 billion (29x 2QFY19 annualised Ebitda). As we factor in the opex synergy, we forecast Vodafone Ideaâs Ebitda to rise over 4x during FY19-21 to Rs160 billion, yet Vodafone Ideaâs FY21 net debt will still be higher, at Rs1,141 billion, and gearing will still be uncomfortable at 7x Ebitda,â said Deepti Chaturvedi and Akshat Agarwal, analysts with CLSA.A total return swap is an agreement in which one party makes payments based on a set rate, either fixed or variable, while the other party makes payments based on the return of an underlying asset, which includes both the income it generates and any capital gains. In total return swaps, typically popular with hedge funds, the underlying asset, referred to as the reference asset, is usually an equity index, loans or bonds. The asset is owned by the party receiving the set rate payment.
- According to Vanvari, the Jet communique to stock exchanges means that a deal with Etihad is on the cards. Others agree. âYou need an airline to run another airline,â an airline official said on conditions of anonymity.Etihad Airways did not respond to ETâs queries. Analysts tracking Jet are hopeful that in an election year, the government wonât allow a big airline like Jet to go belly up.The latest development comes after Jet on January 17 said a plan involving a cash infusion by stakeholders and board changes were in the pipeline. Jet Airways chairman Naresh Goyal, in a letter, had indicated that he is committed to infusing up to Rs 700 crore and pledging all his shares in the company. But those conditions came with a rider that Goyalâs shareholding in the company post such infusion remains at at least 25%.He was evidently responding to partner Etihadâs CEO Tony Douglasâ conditions for infusion of funds, which included disempowering Goyal from all responsibilities, exemption to an open offer and pegging the Jet share price at Rs 150, for the Abu Dhabi based airline to consider participating in an equity infusion.Vanvari of Transaction Square believes that the likely deal will be in three parts.This will include deferment of interest with a part of it getting converted into equity, a moratorium on loan repayment and new capital issue from the promoters.Etihadâs move to appoint Alvarez & Marsal, a management consultancy firm that specialises in turnarounds, also indicates that the airline is committed to reviving Jet Airways.Jet Airways founder Naresh Goyal is believed to be willing to cede control and allow somebody else (Etihad in all probability) to control the airline.However, in the past, Goyal has manoeuvred himself from a weak position and succeeded in taking the driverâs seat. This time, it looks unlikely as banks and his lenders are wary of consequences.
- The Reserve Bank of India keeps a tiny portion of its profit in a contingency fund and transfers the majority to the government every year, which is then counted as fiscal revenue. Typically, the RBI makes those dividend payments after it closes its books of accounts in June. Last year, it paid an interim dividend of 100 billion rupees.While new Governor Shaktikanta Das said earlier this month that no decision had been made yet on an interim dividend, speculation is gaining ground that he may cough up as much as 400 billion rupees to help the government make up some of the revenue shortfall for the year to March 31. The last national budget before elections is scheduled for Feb. 1.Wider DeficitâOptically, a payout of any sizable interim dividend in the backdrop of leadership change at the RBI would hardly look cute,â said Abhishek Upadhyay, an India economist at ICICI Sec Primary Dealership Ltd. He added that apart from an interim dividend, it is likely that âcreative accounting would be used to shift some spending off balance sheetâ to keep a lid on the deficit.A Bloomberg survey of economists shows the government may widen its budget deficit target for the current fiscal year to 3.5 percent of gross domestic product from 3.3 percent. Concerns about the health of the governmentâs finances pushed the yield on the most-traded 2028 bonds higher in four of the past five weeks.Central bankers and economists are wary of the governmentâs push. They argue that a central bankâs finances are different from companies and there is a need to build buffers to maintain independence.âThough technically there is nothing wrong in interim dividends, it may not be neat and nice,â said R. Gandhi, a former deputy governor at the RBI. âThe central bankâs fortunes are negatively correlated to interest and exchange rate movements, both of which can turn at any point of time during a year.â

In an interview with Shilpy Sinha, companyâs chairman Ajay Piramal talks about the liquidity crisis in the NBFC sector, growth opportunities and challenges. Edited excerpts:You grew the loan book by 45% while other NBFCs have shrunk or sold. How did you manage the growth?We bought out one portfolio consumer housing loan, which was Rs 500 crore. We had access to funds because of high equity and high quality of underwriting. Strong track record of our company has meant that many people were willing to lend. We were able to raise to Rs 10,000 crore of long-term funding.Your housing finance has grown by 67% and builder finance by 31%. Is the book now less skewed towards builder finance?In our portfolio, Rs 4,000 crore is for housing finance and 70% of Rs 65,000 crore is for builder finance, and the remaining to small and medium enterprises. The year-on-year growth in housing finance is not relevant because we started in 2017. We will continue to grow all segments but housing and SME will be higher.There have been a few defaults due to Supertech Realty. Do you see stress in the builder segment?Our gross NPA is 0.5% though we have provided for1.8%. We did not find any major stress in any account in the last quarter. Wherever there was some, we have made provisions. Incrementally, the company saw 7% growth over the previous quarter. The company wrote Rs 2,500-crore loan in the quarter. We also had repayments during the quarter.How much did you borrow in the quarter and what was the liquidity in the book?We had liquidity of Rs 5,400 crore. There was no significant pressure on repayments. We brought down our commercial paper exposure by Rs 8,000 crore. In addition, we borrowed Rs 10,000 crore from long-term loans. Some of the institution gave funds for the first time as they saw in challenging market. Ours was a strong balance sheet, good underwriting, and legal documents were strong. Our CP exposure has come down to 15% from18%.Have liquidity concerns been addressed?The regulator whether it is Reserve Bank of India or the Ministry of Finance did a good job as far as managing the liquidity crisis is concerned. There is enough liquidity in the system for the right people. They have become selective on who people are lending. A small default by IL&FS of Rs 300 crore brought system to a shutdown. Something like this can happen. The regulators acted swiftly. We have to be alert about a situation like this happening again.

- MUMBAI: Vodafone Plc is planning to raise $1.5 billion as a three-year loan facility from global banks to finance its India operations through a unique structure thatâs likely to see the company pledge cash flows from the local business, said at least four independent sources aware of the matter. They said banks arenât too enthusiastic because they will have no recourse to the parentâs balance sheet or its equity shares in case of a default, thereby increasing the risk profile of their exposure in a sector already embattled by the intense ongoing competition.The UK telcoâs India investments include a 45.2% stake in Vodafone Idea Ltd (VIL), the telecom joint venture with Kumar Mangalam Birlaâs Idea Cellular, and 42% of Indus Towers, a three-way alliance with Bharti Infratel and Aditya Birla Telecom.Vodafone Plc has proposed an offshore orphan special purpose vehicle (SPV). It will have no corporate or shareholding linkage with Vodafone Plc, hence the term orphan. This âborrowerâ SPV will enter into a total return swap (TRS) agreement with Vodafone Plc in lieu of its economic interest in Vodafone Idea and Indus as the underlying security for the facility.The economic interest could be any cash received through from operations by any means like dividend income, or return on capital or proceeds from any equity stake sale. Whatever cash the borrower SPV receives from the underlying Indian operations will go into loan payments. The SPV will be obliged to pay a 6.5% coupon rate to the lenders or a higher rate of 7.5% if it does not have adequate cash to service the loan. For example, if it gets $97.5 million (6.5% of $1.5 billion), all of it goes to the lenders. If the amount is less than that, the SPV will have to repay at 7.5%.Despite the stature of the corporate concerned, bankers are nervous because Reliance Jio Infocommâs aggressive growth strategy has put the telecom industry under pressure.Vodafone India, which merged with Idea to stay competitive, has written off 6.3 billion euros because of the tariff war. Vodafone Plc is said to be negotiating with the likes of JPMorgan, Bank of America Merrill Lynch and Morgan Stanley among others.At least four marquee lenders from the US, Europe and Asia are believed to have passed on the proposal, added senior banking industry executives on condition of anonymity. Concerns also stem from not having access to Vodafone Plcâs balance sheet or the underlying shares of its Indian operations as collateral in case of default.Vodafone Plc is not keen to pledge any shares with the banks, said sources close to the telco.
- Jet Airways shareholders will vote at a specially convened meeting on February 21 on its proposal to issue new equity and preference shares and convert a part of existing debt into equity. The beleaguered airline will also ask shareholders to allow its lenders to nominate directors to its board.In a communication to the stock exchanges on Monday, Jet said it has proposed to increase share capital 11-fold to Rs 2,200 crore from Rs 200 crore, by creating an additional 50 crore shares and 150 crore preference shares.Jet is laden with a debt of about Rs 8,052 crore ($1.14 billion) as of September 30 and the airline is running out of options as it tries to strike a respectable deal that satisfies not just the lenders, but also its minority partner Etihad Airways.âThis is precursor to a deal,â said Girish Vanvari, founder, Transaction Square, a corporate consultancy firm, referring to the proposals.The proposals also include an authorisation to the Jet board to negotiate and âissue and allotâ shares and convertible instruments against conversion of loans into shares, convertible instruments and other securities. The resolutions proposed also empower lenders to nominate one or more directors on the Jet board, which is a new clause the airline wants to incorporate in its articles of association.
- BENGALURU: As Wipro chief executive Abidali Neemuchwala completes three years at the helm, he lists out his hits and misses: the push towards digital, cloud and localisation have been hits, while transformation of Wipro has taken longer than expected.âHealth business (due to HPS) has been unfortunate because of the Obamacare issue,â Neemuchwala told ETin a recent interview. â Otherwise the investments we made are paying off. Our investments in cloud, digital and consulting have been well taken. Localisation has been successful... now everyone else is doing it and our investment in reskilling has worked very well. Our contracting cost is not going up.âDuring the nine months to December 2018, Wipro grew 5.7%, more than double the growth of 2.7% in fiscal 2018. This pace, however, is slower than larger rivals Tata Consultancy Services at 12.1% and Infosys at 10.1%.Indian IT service providers are winning large deals as clients look to expand beyond pilot projects to embrace the newer digital capabilities across their organisations. It means stitching legacy software applications that is used in desktop computers to one that can be accessed on smartphones. Some of these deals come with taking over existing employees of clients like that of Alight Solutions by Wipro and Verizon by Infosys.Neemuchwala, a soft-spoken IT services industry veteran who joined Wipro from larger rival TCS, has made efforts in areas such as automation, acquiring capabilities and talent in cloud computing-led services since he took charge in February 2016.Wipro, under Neemuchwala, however continues to lag behind its peers, a trend that it has seen from its past chief executives in the last decade. Wipro chairman Azim Premji had sacked co-CEOs Suresh Vaswani and Girish Paranjpe within three years in 2011 after Cognizant overtook the company. TK Kurienâs five-year performance was also below its peers and Neemuchwala saw HCL Technologies pip it to the third spot.Now, Neemuchwala says the company needs few more quarters to fix issues with India restructuring, health care and manufacturing vertical before faster growth.âAbid(ali) has had a lot of internal issues to deal with and resolving these has put a drag on earnings and growth relative to its peers,â said Peter Bendor-Samuel, chief executive of Everest Group, a technology researcher. âHaving said that, Wipro is emerging with a strong portfolio of digital assets and looks to be closing the gap.â In 2016, the company made two acquisitionsâ" HealthPlan Services (HPS) and Appirioâ"totalling nearly $1 billion to strengthen healthcare services and cloud-based offerings.

That leaves the government counting on its central bank to make up the shortfall via an interim dividend from unrealized profits.Turkeyâs central bank was recently called on to do the same, agreeing to pay an advance dividend to the government before local polls in March. In Indiaâs case, the demand on the central bank comes right in the middle of its financial year that runs from July to June, and follows a contentious battle with former Governor Urjit Patel about the institutionâs autonomy.

They said this could serve a dual, punting and hedging strategy before the event.Given the sombre market mood, with fears of the fisc overshooting and bond yields rising due to a variety of reasons, put ratio is a short Nifty strategy on anticipation of the bellwether index not falling substantially below 10,100 during or post the event on February 1. It uses Nifty options expiring on February 28.Rajesh Baheti, MD of leading arbitrage and jobbing firm Crosseas Capital Services, and Rajesh Palviya, derivatives head at Axis Securities, said the strategy could be used to punt as well as hedge oneâs portfolio.It consists of buying a 10500 put and selling two 10100 puts. The sale of the two, deeper out of the money (OTM) put options indicates the trader is shorting volatility, which will drop post the event. Basis Mondayâs provisional closing prices, the 10500 put costs Rs 139 a share while the 10100 put costs Rs 56.The sale of two 10100 puts fetches the client Rs 112 a share. This helps cut the cost of the 10500 purchased put to Rs 27 share. The debit being Rs 27, the level below which the client begins to profit is 10,473. The maximum profit of Rs 373 a share happens if the Nifty corrects to 10,100 during or post the Budget.Below this level the profit begins to drop until 9,727 â"- the lower break-even point below which losses can be unlimited as the client has sold two puts. Each point below 10,100 reduces the profit till it becomes zero at 9,727.Assume Nifty hits 10,000 post the Budget; the 10500 call is Rs 500 ITM. The two 10100 sold puts are Rs 200 ITM. So, the trader receives Rs 273 (500-200-27). If Nifty hits the LBEP of 9,727, an unlikely event, the 10500 put is worth Rs 746 less the debit. The two 10100 puts are worth Rs 746, meaning no profit no loss. Video conferencing should be preferred over telephone calls. Otherwise, itâs hard to know whether you have the full attention of your teammate, he says.3. INVEST IN THE RIGHT TECHNOLOGYâBe more than just text on email!â says Rishi. Investing in the right collaboration technology is critical to increase focus and productivity at work, he says. Agrawal says that companies need to ensure that employees have the proper infrastructure in place, like Wi-Fi and access to the companyâs systems. Employees, in turn, have to make sure theyâre in an environment conducive to work and free from distractions.4. EXPECTATIONS MUST BE CRYSTAL-CLEARâWhen teams are present in person, a lot is discussed over a coffee or during a break,â says Agrawal. Employees need to be clear about what exactly is expected of them when theyâre working remotely. âIt is essential for all team members to have the same understanding of goals, aided by regular milestone checks that are both verbal and well documented,â says Rishi.5. FACE-TO-FACE TEAM MEETINGSâEmployees can feel alone when theyâre working from home or remotely,â says Agrawal. Thatâs when social connect becomes important. If possible, teams should meet in person from time to time to create a sense of bonding and togetherness, he says. âIf distances span international borders, do meet virtually,â says Rishi. A group video-conference call can be the second-best alternative, concurs Agrawal.
