HC restrains Singh Brothers from operating bank a/csNEW DELHI: The Delhi High Court restrained former Fortis Healthcare and Ranbaxy promoters Malvinder and Shivinder Singh from operating their bank accounts in India and Singapore while it executes Daiichi Sankyo’s Rs3,500-crore arbitration award against them. The court however didn’t block a key Fortis Healthcare shareholder meeting to vote on the hospital chain’s acquisition by IHH.The Singhs, who were present in court on Friday, were questioned about their accounts and assets in India and overseas. This was the first time the brothers had appeared in court since Daiichi Sankyo initiated the arbitration award enforcement proceedings against them in 2016.Justice Rajiv Shakdher suggested the brothers declare themselves bankrupt if they were unable to pay the award. The next hearing will be on September 5.“If they don’t have the money, why don’t they declare themselves insolvent? Either they have the money or they don’t have the money,” Shakdher said.The judge didn’t block an August 13 extraordinary general meeting (EGM) at which Fortis Healthcare shareholders will vote on a deal that will see the hospital chain being acquired by Malaysian healthcare group IHH. Daiichi had sought to stall the EGM on the grounds that a proposal to strip the Singhs of their promoter status would “cut the umbilical cord” linking the brothers to Fortis Healthcare and leave the Japanese firm “with nothing.”IHH didn’t respond to queries.The court sought the Singhs’ account statements from April 2016 onward. Their holding companies RHC Holding Pvt Ltd and Oscar Investments Ltd have also been directed to submit bank statements for the period.Malvinder Singh was directed not to finalise any transaction related to his Singapore apartment, for which he had taken a loan from DBS bank. He’s been asked to submit the apartment’s title document and a gift deed for a sculpture valued at over Rs7 crore that he said he had given to his daughter last year. Any additional bank accounts not disclosed during proceedings on Friday would also have to be revealed, according to the judge.Shivinder Singh told the court that an inherited property in India he co-owned with his brother and mother had been pledged with IndiaBulls and had been sold for about Rs 185 crore to repay it. The Singhs did not receive any financial benefits from the sale, he added.He also told court that the Singh family had “nothing” to do with Religare Health Trust in Singapore, which holds 12-14 assets that Fortis Healthcare plans to buy back following its proposed Rs4,000-crore deal with IHH. Daiichi had argued that the brothers held stakes in the trust.He also said the family “never” held any stake in Prius Commercial Real Estate Pvt. Ltd after Daiichi raised the issue over the brothers’ reported talks to sell six commercial properties held by the company to BlackRock for Rs 1,000 crore.Shakdher asked why the Singhs hadn’t disclosed the existence of a top-up agreement pertaining to the brothers’ shares in Fortis pledged to various banks when they had disclosed the value of their unencumbered assets to the court last year. While the brothers did not divest the unencumbered shares following their disclosure, the top-up agreement allowed banks to encumber more shares if the value of the Fortis stock dropped below a certain threshold, their lawyer said.“How can you file an affidavit that only speaks half-truth?” Shakdher asked.The Singhs’ “extensive” negotiations with “motivated” buyers to secure a deal for their controlling stake in Fortis over the last year had been “thwarted” by Daiichi’s constant interventions at court, according to the brothers’ reply at court.The brothers’ controlling stake in Fortis was diminished following an order by the Supreme Court in February this year that allowed banks to invoke and sell Fortis shares pledged to them, argued their senior counsel, Akhil Sibal. “We were trying to avoid a fire sale,” he said. “At every stage, we were trying a stake sale,” he added.At the last hearing on August 1, the court had directed the brothers to appear personally on Friday to understand the assurances that they had given last year and ensure that sufficient funds would be available to satisfy the arbitration award. Shakdher had told the Singhs' counsel that “somebody” would have to “cough up” Daiichi's money or “go behind bars.”The Delhi High Court had ordered the former Ranbaxy promoters to pay Daiichi Sankyo Rs 3,500 crore as part of the arbitration award earlier this year. A Singapore tribunal had said the brothers needed to pay the money for concealing information related to wrongdoing at Ranbaxy, once India's largest drug maker, when Daiichi acquired it from the brothers for $4.6 billion in 2008.

Full blocking of mobile apps to harm users' constitutional rights: COAI to DoTIndustry body COAI has cautioned against blocking of mobile apps, saying it would not only impinge on freedom of speech and expression of users, but also hit routine day-to-day communications, commercial activity, and business interests.The mobile association has written back to the Telecom Department, which had sought the industry's views on technical measures which can be adopted for blocking mobile apps like Instagram, Facebook, WhatsApp, Telegram, etc in situations where national security and public order are under threat.In its three-page reply to the Telecom Department, the Cellular Operators' Association of India (COAI) has cited technical constraints, flagged risks of over-blocking, and cautioned that blocking must be targeted "only at content or account level" to "minimise impact on innocent users"."Blocking of mobile applications as a whole to prohibit circulation of certain content would likely impinge the principles of freedoms of speech, expression and information by blocking millions of other users who have not shared or originated any unlawful content," COAI said.Taking such an approach will be "disproportionate" and will harm the constitutional rights of users at large, it had argued."Only specific content or users responsible for circulating unlawful content must be blocked instead of the entire mobile application blocking," said COAI, whose members include telecom service providers like Airtel, Vodafone, Idea, and Reliance Jio.It has further said that any disruptions or full blocking of mobile apps, particularly those which have billions of users across the world, will "put to halt all ordinary day-to-day communications, correspondence and commerce activities.The COAI has argued that as several emerging businesses have starting to evolve on social media and communications applications, blocking would adversely impact the commercial interests and cause significant economic harm to innocent stakeholders, COAI said in its letter dated August 6.Based on a reference from the IT Ministry, the Department of Telecom (DoT) has invited views from the industry on technical measures that can be adopted to block mobile apps like Whastapp, Facebook, Telegram, etc. The DoT, however, has denied to have any intension of blocking any apps, per se.The move comes amid rising concerns over circulation of false information and rumours on messaging platform WhastApp, that have in several instances incited mob-fury. The Government has taken a stern view of false news doing the rounds on social media platforms, and asked WhatsApp to take urgent measures to curb the circulation of such messages and identify its originators.

Reliance Communications gets a breather, tribunal sets next hearing over DoT Notice for September 10In a relief to Reliance Communications, the telecom tribunal has told department of telecommunications not to take any follow-up action till the tribunal next hears an appeal filed by the troubled telecom operator against DoT’s licence cancellation notice on September 10.This effectively means that the Anil Ambani-owned telco will get one more month to furnish bank guarantees worth Rs 774 crore to telecom department, which led to the strife between the two parties.Telecom Disputes Settlement and Appellate Tribunal (TDSAT) on Friday gave telecom department two weeks to file an affidavit and put its stance on record and then one week to RCom to file a rejoinder, according to lawyers present at the tribunal hearing.Till then DoT cannot cancel the telco’s licences, they said.The issue started when DoT issued two show-cause notices to RCom, threatening to cancel its licences in 14 circles and revoke spectrum allotted in 2013 and 2015.
